End-User License Agreement for Kinaia Office Add-ins

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Kinaia (“Licensor,” “we,” “us,” or “our”) for the software application(s) identified below, including any associated media, printed materials, and online or electronic documentation (collectively, the “Add-in”).

1. Add-ins Covered

This Agreement applies to the following Microsoft Office Add-ins (each an “Add-in” and collectively, the “Add-ins”):

  • Kinaia for Word — AI-powered assistant for Microsoft Word documents
  • Kinaia for Excel — AI-powered assistant for Microsoft Excel spreadsheets
  • Kinaia for PowerPoint — AI-powered assistant for Microsoft PowerPoint presentations

2. Acceptance of Terms

By installing, accessing, or using any of the Add-ins, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to all of the terms, do not install or use the Add-ins.

3. License Grant

Subject to your compliance with the terms of this Agreement, we grant you a non-exclusive, non-transferable, revocable, limited license to install and use the Add-ins solely for your personal or internal business purposes on devices where you are the primary user or that you manage.

4. License Restrictions

You may not, and will not permit any third party to:

  1. Modify, adapt, alter, translate, or create derivative works of the Add-ins
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Add-ins
  3. Sublicense, lease, lend, rent, or distribute the Add-ins to any third party
  4. Remove, alter, or obscure any proprietary notices, labels, or marks on or in the Add-ins
  5. Use the Add-ins in any manner that violates applicable laws or regulations
  6. Use the Add-ins to develop a competing product or service

5. Third-Party Services and Bring Your Own Key (BYOK)

The Add-ins connect to third-party AI service providers (including but not limited to OpenAI, Anthropic, Google, and others) to deliver functionality. You are solely responsible for:

  1. Obtaining and maintaining valid API keys or credentials for any AI service provider you choose to use with the Add-ins
  2. All costs, fees, and charges imposed by your chosen AI service provider
  3. Complying with the terms of service, acceptable use policies, and privacy policies of each AI service provider
  4. Any content you submit to, or receive from, AI service providers through the Add-ins

We do not host, operate, or control any AI service provider. We are not responsible for the availability, accuracy, or output of any third-party AI service.

6. Data and Privacy

  1. Your content remains yours. You retain all ownership and intellectual property rights in the documents, data, and content you process through the Add-ins.
  2. API keys are stored locally. Your API keys and provider credentials are stored on your device and are not transmitted to our servers.
  3. Document data is sent to your chosen AI provider. When you use the Add-ins to interact with your documents, relevant content may be sent to the AI service provider you have configured. We do not intercept, log, or store this data.
  4. Usage data. We may collect anonymized, aggregate usage data (such as feature adoption and crash reports) to improve the Add-ins. This data does not include the content of your documents or your API keys.

7. Ownership

The Add-ins, including all intellectual property rights therein, are and shall remain the exclusive property of Kinaia and its licensors. This Agreement does not convey any ownership rights to you.

8. Disclaimer of Warranties

THE ADD-INS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  1. THE ADD-INS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  2. THE RESULTS OBTAINED FROM THE USE OF THE ADD-INS WILL BE ACCURATE, RELIABLE, OR COMPLETE
  3. ANY ERRORS IN THE ADD-INS WILL BE CORRECTED

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KINAIA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE ADD-INS, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT SUCH DAMAGES ARE FORESEEABLE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE ADD-INS SHALL NOT EXCEED THE AMOUNT OF ONE US DOLLAR ($1.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless Kinaia and its officers, directors, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to:

  1. Your use of the Add-ins in violation of this Agreement
  2. Your violation of any applicable law or regulation
  3. Your violation of the terms of service of any third-party AI provider
  4. Any content you submit or process through the Add-ins

11. Public Beta

The Add-ins are currently offered as a public beta. Features may be added, modified, or removed without notice. You may encounter bugs, errors, or incomplete functionality. By using the Add-ins, you acknowledge the beta nature of the software and accept it as-is.

12. Modifications and Updates

We reserve the right to modify, update, or discontinue the Add-ins at any time, with or without notice. We may update this Agreement from time to time by posting the revised version at kinaia.app/eula. Your continued use of the Add-ins after any such changes constitutes your acceptance of the revised Agreement.

13. Termination

This Agreement is effective until terminated. We may terminate this Agreement at any time, with or without cause, upon notice to you. Upon termination, you must immediately cease all use of the Add-ins and delete all copies from your devices. Sections 4, 7, 8, 9, 10, 14, and 15 shall survive termination.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Kinaia is organized, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the competent courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.

15. General Provisions

  1. Entire Agreement. This Agreement constitutes the entire agreement between you and Kinaia regarding the Add-ins and supersedes any prior agreements or understandings.
  2. Severability. If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.
  3. No Waiver. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
  4. Assignment. You may not assign or transfer this Agreement or your rights hereunder, in whole or in part, without our prior written consent.
  5. Independent Contractors. Nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship between you and us.
